Terms of Service

These Terms of Service (“Terms”) govern access to and use of ChannelDesk (channeldesk.app), a multi-tenant commerce operations dashboard operated by RyuuGroup (“RyuuGroup”, “we”, “us”). By creating an account, accepting a workspace invite, or otherwise using ChannelDesk, you agree to these Terms on behalf of yourself and, where applicable, the business you represent (“you”, the “tenant”).

1. The service

ChannelDesk connects a tenant’s sales channels, marketplaces, and help desk systems into a single dashboard, letting tenant users view orders and support tickets, generate AI-assisted draft replies, and manage multi-marketplace operations from one place. Available integrations, features, and connected platforms may change over time as the service evolves.

2. Accounts and workspaces

A workspace owner creates a tenant account and may invite additional users as admins or viewers. You are responsible for the accuracy of information provided during signup, for keeping login credentials confidential, and for all activity that occurs under your account. Notify us promptly at support@channeldesk.app if you suspect unauthorized use of your account.

3. Plans and billing

ChannelDesk offers paid subscription plans billed through Stripe, our payment processor. By subscribing, you authorize us to charge the payment method on file for recurring subscription fees, plus applicable taxes, on the billing cycle shown at checkout. Fees are non-refundable except where required by law or expressly stated otherwise. We may change plan pricing or features with notice posted in the app or sent by email before the change takes effect on your next billing cycle. Failure to pay may result in suspension or downgrade of your workspace.

4. AI-generated output

ChannelDesk uses third-party AI models (see our Sub-processors page) to generate draft replies, summaries, and other suggested content based on your connected channel and help desk data. AI output is a suggestion only. Nothing generated by ChannelDesk is sent to a customer, published, or otherwise acted on without a tenant user actively reviewing and approving it first. You are solely responsible for reviewing AI-generated drafts for accuracy, tone, and appropriateness before approving them, and ChannelDesk is not liable for the content of any message, reply, or document that a tenant user chooses to send or publish, whether or not it originated from an AI draft.

5. Bring-your-own API keys

Where ChannelDesk allows a tenant to connect its own API key for a third-party service (for example, a tenant’s own Anthropic account for AI drafting, or a tenant’s own marketplace API credentials), that key and all usage, cost, and rate limits associated with it are the tenant’s sole responsibility. ChannelDesk stores such keys encrypted and uses them only to make requests on the tenant’s behalf, under the tenant’s instructions. You are responsible for keeping bring-your-own keys valid, funded, and scoped appropriately, and for revoking them if they are compromised.

6. Acceptable use

Use of ChannelDesk is subject to our Acceptable Use Policy, which prohibits sending unlawful or abusive content through the platform, uploading data you do not have the right to process, attempting to circumvent tenant data isolation, and other misuse. Violations may result in suspension or termination of your account.

7. Tenant data and your responsibilities

You represent that you have the right to connect your sales channel, marketplace, and help desk accounts to ChannelDesk, and that doing so, along with your use of AI drafting features on that data, complies with your own obligations to your customers and applicable law. Our handling of that data as your processor is described in our Privacy Policy and Data Processing Agreement.

8. Intellectual property

ChannelDesk and its underlying software, design, and branding are owned by RyuuGroup. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable right to access and use ChannelDesk for your internal business operations during your subscription term. You retain ownership of the data you connect to or generate within ChannelDesk.

9. Disclaimers

ChannelDesk is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated output will be accurate, complete, or suitable for any particular purpose.

10. Limitation of liability

To the maximum extent permitted by law, RyuuGroup will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of ChannelDesk, including any content sent or published based on an AI-generated draft. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us for the service in the three months preceding the claim.

11. Termination

You may cancel your subscription at any time from workspace settings. We may suspend or terminate your access if you violate these Terms, the Acceptable Use Policy, or fail to pay fees when due. When a workspace account is deleted, whether by the tenant or by us for cause, the deletion cascades: connected channel data, cached orders and tickets, AI draft history, and tenant user records associated with that workspace are permanently removed from active systems, subject to the retention windows described in our Privacy Policy and Data Processing Agreement.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to tenant users through the app or by email before they take effect. Continued use of ChannelDesk after a change becomes effective constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of [governing law jurisdiction, to be confirmed by counsel], without regard to conflict-of-law principles. Any disputes will be resolved in the courts located in that jurisdiction, unless otherwise required by applicable consumer protection law.
